These Terms of Service (“Terms”) govern your access to and use of finalthirdlabs.com, the Final Third Labs online store and any related products, content or services offered through the website (collectively, the “Services”).

The Services are operated by Space Time Agency LLC, doing business as Final Third Labs (“Final Third Labs,” “we,” “us” or “our”).

By visiting the website, placing an order or otherwise using the Services, you agree to these Terms and to the policies incorporated into them by reference. If you do not agree, you may not use the Services.

1. ELIGIBILITY

You must be at least the age of majority in your state, province or country of residence to place an order or use the Services independently.

If you purchase a product for a minor, you confirm that you are authorized to make the purchase and accept responsibility for supervising the product’s selection, fit and use.

You may not use the Services or our products for any unlawful or unauthorized purpose.

2. SHOPIFY

Our online store is hosted by Shopify, which provides the ecommerce platform used to display products, process transactions and operate portions of the Services.

Purchases made through Final Third Labs are transactions between the customer and Space Time Agency LLC, DBA Final Third Labs. Shopify is not the seller of the products offered through our store.

Your use of certain Shopify-powered functions may also be subject to Shopify’s applicable terms and privacy practices.

3. PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to present product descriptions, dimensions, colors, materials, photographs and other information accurately.

However:

• Colors may appear differently depending on the device or display.

• Measurements may be approximate.

• Packaging, product details and availability may change.

• Minor variations may occur between products.

• Photographs and videos are provided for general representation.

We may modify, discontinue or limit the availability of any product without prior notice.

Product information is provided to help customers make purchasing decisions, but customers remain responsible for reviewing all descriptions, dimensions and Size Guide information before ordering.

4. SPORTS EQUIPMENT AND SAFETY

Final Third Labs products are intended for their stated sporting purpose and must be used according to the product information and instructions provided.

No shin guard or item of sports equipment can prevent every injury. Use of a Final Third Labs product does not guarantee protection from impact, collision, discomfort or injury.

Customers and users are responsible for:

• Selecting an appropriate size and level of coverage.

• Positioning and securing the product properly.

• Inspecting the product before each use.

• Discontinuing use if the product is cracked, damaged, excessively worn or no longer fits securely.

• Following applicable team, league, tournament, school and governing-body equipment requirements.

• Using the product only for its intended purpose.

Rules concerning shin-guard dimensions, construction and permitted equipment may vary by competition. Final Third Labs does not guarantee that every product will satisfy the requirements of every league, tournament or governing organization.

Parents, guardians, coaches and other responsible adults should supervise the fitting and use of products worn by minors.

Nothing on the website constitutes medical, safety or professional sporting advice.

5. ORDERS

Submitting an order does not guarantee acceptance.

We may refuse, limit or cancel an order where permitted by law, including when:

• A product is unavailable.

• Product or pricing information is incorrect.

• Payment cannot be authorized.

• Fraud or unauthorized activity is suspected.

• An order appears intended for unauthorized resale.

• The order violates these Terms or another applicable policy.

If we cancel an order after payment has been collected, we will refund the canceled amount to the original payment method.

Customers are responsible for providing complete and accurate billing, shipping and contact information.

Orders begin processing shortly after submission. Changes or cancellations cannot be guaranteed after an order has been placed.

6. PRICES, PAYMENT AND TAXES

Prices are displayed in U.S. dollars unless otherwise stated.

We may change prices, promotions and product availability at any time. Price changes do not affect orders already accepted, except where correction of an obvious error is permitted by law.

Payment must be completed using a payment method available at checkout. By submitting payment information, you represent that:

• The information is accurate and complete.

• You are authorized to use the selected payment method.

• You authorize the applicable charges, taxes and shipping costs.

Applicable sales taxes and shipping charges are calculated and displayed during checkout where supported.

International customers may be responsible for import duties, customs charges, taxes or carrier fees not collected by Final Third Labs. These charges are determined by the destination country and are the customer’s responsibility unless expressly included at checkout.

7. SHIPPING AND DELIVERY

Final Third Labs ships within the United States and to available international destinations.

Shipping availability, rates and estimated delivery times depend on the destination and are displayed or calculated at checkout.

Processing and delivery dates are estimates, not guarantees. Carrier delays, customs processing, severe weather, incorrect addresses, high order volume and other circumstances outside our reasonable control may affect delivery.

Risk of loss and title to purchased products transfer as provided by applicable law and the carrier’s shipping terms.

8. FINAL SALE AND ORDER ISSUES

All purchases are final. Final Third Labs does not accept voluntary returns or exchanges, including for incorrect size or color selections, fit or coverage preferences, changes of mind or accidental orders.

If a product arrives damaged, defective or different from what was ordered, the customer should report the issue promptly through our Contact page and provide the requested order information and photographs.

Order-fulfillment issues are reviewed separately from voluntary returns. Submitting a report does not guarantee a particular resolution.

Do not send a product back without prior written instructions from Final Third Labs.

Nothing in these Terms limits a consumer right that cannot legally be waived or excluded.

9. PROMOTIONS AND DISCOUNTS

Promotional offers, discount codes and limited-time sales may be subject to additional conditions.

Unless otherwise stated:

• Promotions cannot be combined.

• Discounts have no cash value.

• Discount codes must be entered before checkout is completed.

• Discounts cannot be applied retroactively.

• Promotions may be modified or ended at any time before an order is accepted.

10. WEBSITE CONTENT AND INTELLECTUAL PROPERTY

The website and its content—including the Final Third Labs name, logos, product names, photographs, videos, graphics, text, layouts and other materials—are owned by or licensed to Final Third Labs and are protected by applicable intellectual-property laws.

We grant users a limited, revocable, non-exclusive and non-transferable right to access the website for personal shopping and informational purposes.

Without prior written authorization, you may not:

• Copy, reproduce, republish or distribute website content.

• Use our photographs, videos, graphics or product descriptions commercially.

• Modify or create derivative works from our content.

• Use Final Third Labs trademarks or branding.

• Scrape, extract or systematically collect website content.

• Impersonate Final Third Labs or misrepresent an affiliation with us.

No right, title or interest in our intellectual property is transferred through use of the Services or purchase of a product.

If you voluntarily submit feedback, ideas, suggestions, reviews, photographs or other non-confidential material, you represent that:

• You have the right to submit it.

• It does not violate another person’s rights.

• It is not unlawful, misleading, abusive or malicious.

• It does not contain harmful code or unauthorized advertising.

You grant Final Third Labs a non-exclusive, worldwide, royalty-free license to use, reproduce and display the submitted material for operating, improving and promoting the business, subject to applicable law and our Privacy Policy.

Personal information contained in submissions will be handled according to our Privacy Policy.

12. PROHIBITED USES

You may not use the Services:

• For unlawful, fraudulent or deceptive activity.

• To violate intellectual-property, privacy or other legal rights.

• To submit false order, billing or contact information.

• To transmit malware, harmful code or destructive technology.

• To interfere with website security or functionality.

• To gain unauthorized access to systems or customer information.

Final Third Labs does not control and is not responsible for third-party websites, services, terms, availability, security or content.

Use of a third-party service is subject to that provider’s own terms and privacy practices. Customers should review those terms before using the service or submitting information.

15. ERRORS AND CORRECTIONS

Website content may occasionally contain typographical errors, inaccuracies or omissions involving product descriptions, dimensions, prices, promotions, availability, shipping charges or delivery estimates.

We may correct errors, update information or cancel affected orders where permitted by applicable law.

If an order is canceled because of an error after payment has been collected, the canceled amount will be refunded to the original payment method.

16. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

FINAL THIRD LABS DOES NOT WARRANT THAT:

• THE WEBSITE WILL ALWAYS BE AVAILABLE, SECURE OR ERROR-FREE.

• WEBSITE INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT.

• EVERY PRODUCT WILL MEET EVERY INDIVIDUAL FIT, COMFORT, COVERAGE OR PERFORMANCE PREFERENCE.

• USE OF A PRODUCT WILL PREVENT INJURY.

• EVERY PRODUCT WILL COMPLY WITH THE EQUIPMENT RULES OF EVERY COMPETITION OR ORGANIZATION.

PRODUCTS ARE SUBJECT ONLY TO WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED OR EXCLUDED.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, FINAL THIRD LABS, SPACE TIME AGENCY LLC AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM:

• USE OF OR INABILITY TO USE THE SERVICES.

• RELIANCE ON WEBSITE CONTENT.

• DELAYS OR INTERRUPTIONS OUTSIDE OUR REASONABLE CONTROL.

• UNAUTHORIZED ACCESS TO OR ALTERATION OF DATA.

• IMPROPER SELECTION, FITTING, MAINTENANCE OR USE OF A PRODUCT.

• FAILURE TO FOLLOW PRODUCT INSTRUCTIONS OR APPLICABLE EQUIPMENT RULES.

Where liability cannot legally be excluded, our liability will be limited only to the extent permitted by applicable law.

Nothing in these Terms excludes liability for fraud, willful misconduct, gross negligence or any other liability that cannot lawfully be limited or excluded.

18. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Final Third Labs, Space Time Agency LLC and their owners, officers, employees, contractors and service providers from claims, damages, liabilities and reasonable expenses arising from:

• Your unlawful or unauthorized use of the Services.

• Your violation of these Terms.

• Your infringement of another person’s rights.

• Content or information you submit through the Services.

• Your misuse, unauthorized modification or unauthorized resale of a product.

This provision does not apply where a claim results from conduct for which Final Third Labs cannot lawfully disclaim responsibility.

19. FORCE MAJEURE

Final Third Labs is not responsible for delays or failure to perform caused by circumstances beyond our reasonable control, including severe weather, natural disasters, carrier interruptions, customs delays, labor disruptions, power or internet outages, governmental actions, supply-chain interruptions or other similar events.

This section does not eliminate any remedy that cannot legally be excluded.

20. TERMINATION

We may suspend or terminate access to the Services if you violate these Terms, misuse the website or engage in conduct that threatens the security, integrity or lawful operation of the Services.

Termination does not eliminate obligations or liabilities that arose before termination.

Provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification and dispute resolution survive termination where applicable.

21. SEVERABILITY AND WAIVER

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted or removed while the remaining provisions continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

22. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Shipping Policy, Returns Policy and any additional terms displayed during checkout or with a promotion, constitute the entire agreement between you and Final Third Labs concerning the Services and purchases made through the website.

If a specific policy conflicts with these Terms regarding its subject matter, the more specific policy controls.

23. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Florida and applicable federal laws of the United States, without regard to conflict-of-law principles.

Subject to any consumer right that cannot be waived, disputes relating to these Terms, the Services or purchases from Final Third Labs will be brought in the appropriate state or federal courts located in Palm Beach County, Florida.

Customers outside Florida may retain mandatory consumer rights provided by the laws of their place of residence.

24. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our products, operations, technology, policies or legal obligations.

The revised Terms become effective when published, unless another effective date is stated. Changes apply prospectively and do not alter completed purchases retroactively where prohibited by law.

The “Last updated” date identifies the most recent revision.
